These Terms of Service ("Terms") govern your access to and use ofOrbit Editor, our website, APIs, and related services (collectively, the "Services") operated by Vexelity ("we", "us"). By using the Services, you agree to these Terms.
Eligibility
You must be at least 13 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
Accounts
You may need a GitHub account to sign in. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
License to use Orbit Editor
Orbit Editor desktop software is distributed under the Apache License 2.0. Your use of the editor is also subject to that license and any third-party licenses included with the software.
Hosted services
Certain features (such as authentication, usage dashboards, and hosted AI inference) are provided as online services. We may modify, suspend, or discontinue any part of the Services with reasonable notice when practicable.
Acceptable use
You agree not to:
- Violate applicable laws or third-party rights
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services
- Use the Services to develop malware or abusive automated systems
- Circumvent usage limits, rate limits, or access controls
- Reverse engineer hosted service components except where permitted by law
AI features and third-party providers
Orbit may route requests to third-party AI providers. You are responsible for your prompts, code, and outputs. AI-generated content may be inaccurate or incomplete. Review outputs before relying on them. Your use of third-party models may also be subject to those providers' terms.
Billing and credits
Orbit offers a monthly subscription (currently $10/month plus applicable taxes) that grants prepaid model credits each billing cycle. One-time top-up credits are also available. Usage of Orbit Provider models is deducted from your prepaid credit wallet.
Monthly subscription credits expire when your subscription ends without renewal. Top-up credits do not expire. When spending credits, monthly subscription balance is used before top-up balance.
Manage billing, payment methods, and cancellation through the customer portal linked from your account. Except where required by applicable law, payments and consumed credits are non-refundable. Refunds, chargebacks, and disputes may reverse granted credits; if those credits were already used, hosted-model access is paused until the resulting credit debt is repaid by a future grant or top-up.
Intellectual property
We retain all rights in the Services, branding, and documentation. You retain ownership of content you submit. You grant us a limited license to process your content solely to provide the Services.
Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXELITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
Indemnification
You will indemnify and hold harmless Vexelity from claims arising out of your use of the Services or violation of these Terms.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Services or other users.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Changes
We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance of the revised Terms.
